ARTICLE I
The name of this organization shall be Country Garden Club of Weston.
Article II
Object
The object of this club shall be to encourage an active interest in horticulture and conservation among the amateur gardeners in the community and to further the knowledge of beautifying town and home.
ARTICLE III
Membership
Section 1. The membership of this club shall consist of active, associate and honorary members who are interested in the object of this organization and who live in Weston, or formerly lived in Weston.
Active members, limited to fifty, shall be those who meet the requirements for membership. Each active member shall be expected to:
Section 2. Application for membership shall begin with a Club member sponsor sending the name of the proposed member to the membership chairperson. The membership chairperson will then present the name to the executive board for review. If the executive board would like to proceed, the membership chair will contact the sponsoring member to proceed with the membership paperwork. The two sponsors, who shall have been members of the club for at least one year and by whom the applicant is known personally, and proposed member then send in letters to the membership chairperson, who then presents the letters to the executive board. All paperwork should be presented together, for each proposed new member. Election to membership shall be by a two-thirds written vote of the executive board, whose action shall be reported in writing to the applicant by the membership chairperson and will communicate the responsibilities of active membership. The Treasurer will also be notified.
Section 3. Former members may be reinstated without sponsors by a two-thirds written vote of the executive board at the first vacancy upon payment of dues.
Section 4. Application for active membership which exceed the maximum number shall be placed on a waiting list. The number of persons on the waiting list shall be set by the executive board.
Section 6. A member may sponsor two applicants for membership per year.
Section 7. The executive board may grant a leave of absence to any member for exceptional circumstances. this member may take this leave for up to three (3) years and at the end of this time, or earlier, request to return to active membership. Provided space is available, or as soon as a space is available, this member will be considered active.
Article IV
Dues
Section 1. The annual dues of active members and associate members shall be as proposed from time to time by the executive board and approbed by a two-thirds vote of members present and voting at any regular club meeting
Section 2. All dues shall be payable in advance at the annual meeting.
Section 3. Members whose dues remain unpaid on June first shall be notified, and after July first, may be dropped from membership by a two-thirds written vote of the executive board.
Section 4. Members admitted after February first shall pay a pro-rata dues as established by the executive board, for the remainder of the fiscal year.
ARTICLE V
Officers and their Duties
Section 1. The officers of the club shall be a president, a vice president, a second vice president, a recording secretary, a corresponding secretary, and a treasurer. Each officer, except the treasurer, shall serve from the date of her election at an annual meeting until her successor shall be elected. The treasurer shall serve from the July 1 following her election through the following June 30, or until her successor shall be elected.

Article VI
Executive Board and Committees
Section 1. The executive board shall consist of the officers and chairs of the following standing committees: Civic, Conservation, Horticulture, Nominating, Program - current, and Publicity and any other chairs as established by the bylaws and included as directed by the officers.
Section 2. The executive board shall transact all routine business of the club; shall approve hour and place of club meetings; shall authorize the acceptance of resignations from membership; shall fill all vacancies that may occur in elective offices.
Section 3. The executive board shall annually appoint an auditor, whose duty shall be to examine and verify the accounts of the treasurer and to submit a written report.
Section 4. The executive board shall hold meetings upon the call of the corresponding secretary at the discretion of the president, or upon request of three members of the board. In case of emergency, the president shall have the power to procure a quorum vote by telephone.
Section 5. Eight members shall constitute a quorum of the executive board.
Section 6. There may be the following standing committees: awards, civic, conservation, decorative arts, exhibits and flower arrangements, environment, garden therapy and gardening, historian and custodian, horticulture, hospitality, landscape design, and Golden Ball Tavern Project, nominating, photography, program planning, program - current, publicity, ways and means, and yearbook and any other area of interest that warrants a standing committee and is so voted by a quorum of the club upon the advice of the executive board.
Article VII
Nominations and Elections
Section 1. A nominating committee of five members shall be established as follows: the chairperson shall have been appointed by the outgoing president; one member shall be elected from nominations from the floor at the annual meeting. The remaining three (3) members will consist of 1) the Outgoing President, 2) the incoming President and 3) the 1st Vice-President (Membership).
Section 2. This committee shall meet in person as often as necessary to complete its business; shall give consideration to all eligible candidates for office and by majority ballot vote of the committee members shall nominate a suitable candidate for each office to be filled.
Section 3. No one shall be eligible to hold office until she has been a member of the club for at least on calendar year.
Section 4. It shall be the duty of the nominating committee to submit to the members at the April meeting or by written notice two weeks prior to the annual meeting a list of nominations for officers for the ensuing year.
Section 5. The election of officers shall be by majority ballot vote of members present and voting at the annual meeting.
Section 6. If there is only one nominee for each office, by vote of the club, the recording secretary may be instructed to cast one vote for the entire slate or for as many as are the sole nominee for the office.
Section 7. Members may serve as an officer longer than two consecutive years in the same executive board position if the executive board agrees, or if more than half of the executive board is turning over. Members may serve on a committee for extended terms.

Article VIII
Meetings
Section 1. Regular events of the club shall be held on Wednesday and Thursday of each month from September through May, unless otherwise voted by the executive board.

Section 2. The regular meeting in May shall be the annual meeting, limited to members only, and shall be for the purpose of electing officers, receiving reports, and transacting any other business that may arise.
Section 3. Special meetings may be called by the president, or by vote of the executive board, or upon the written request of eight members of the club.
Section 4. Thirty percent of active members shall constitute a quorum of the club.
Article IX
Guest Privileges
At guest meetings, members of the club may have an unlimited number of guests provided that the consent of the hostess for the day has been secured and a fee to be determined by the executive board shall be paid.
Article X
Parliamentary Authority
The rules contained in “Robert’s Rules of Order, Revised” shall govern this club in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
Article XI
Amendments
These bylaws may be amended by two thirds vote of the members present and voting at any regular meeting of the club, provided that the proposed amendment has been presented in writing at the previous regular meeting and written notice sent to each absent active member at least one week before the meeting, or by written notice to each active member two weeks prior to any regular meeting.
Duties of the Standing Committees
GENERAL DIRECTIVES:
1. Awards
Shall include a chairperson and a member who shall determine whether the club could apply for an award on any club project and shall assemble and present any such application.
2, Civic
a. Shall include a chairperson and two or more members who shall carry out the civic projects adopted by the club;
b. The chairperson shall be a member of any civic committee organized by the Council of Weston Garden Clubs and shall participate and cooperate with said council and/or Weston authorities as directed by the executive board.
3. Conservation
a. Shall include a chairperson and two or more members who shall keep the club informed on conservation practices and report to the members on conservation meetings of the Federation;
b. Shall work closely with any local organization on conservation projects;
c. The chairperson shall be a member of any conservation committee organized by the Council of Weston Garden Clubs.
4. Decorative Arts, Exhibits and Flower Arrangements
a. Shall include a chairperson and two or more members who shall be in charge of exhibits for club programs;
b. Shall notify the members in advance of any flower shows and/or exhibits in which they may participate;
c. Shall inform the club and publicity chairperson of all shows in which members participate;
d. Shall organize flower arrangement classes and decorative arts workshops and classes;
e. Shall have its chairperson work closely with the program planning committee and by June fifteenth shall present names of exhibitors for club programs and dates of classes and workshops to the yearbook chairperson.
5. Environment
a. Shall consist of a chairperson and one or more members who shall promote public awareness of environmental issues;
b. Shall work closely with the conservation committee and any local organization on all environmental issues including hazardous wastes, recycling and pollution;
c. Shall keep the club informed of pending legislation relative to any environmental issue;
d. Shall present petitions having to do with environmental issues to club members for signatures at regular meetings.
Garden Therapy and Gardening
a. Shall include a chairperson and three other members who shall encourage and organize groups for garden therapy projects and for down-to-earth gardening for home as well as civic and conservation projects sponsored by the club.
Historian and Custodian
a. Shall keep the records and other properties of the club;
b. Shall keep the yearbook file up to date;
c. Shall keep a permanent copy of the bylaws as amended or revised.
8. Horticulture
a. Shall include a chairperson and two other members who shall give horticulture information and instruction to members;
b. Shall notify members of flower shows in which they may exhibit horticulture specimens;
c. Shall attend Federation monthly lecture and report to members at the next regular meeting;
d. At the discretion of the executive board, shall arrange for a plant sale at the annual meeting.
9. Hospitality
a. Shall include a chairperson and co-chairperson who shall arrange for two or more hostesses for all regular and guest meetings and present these names to the yearbook chairperson by June fifteenth;
b. Shall be in charge of a committee for hospitality and refreshments for all fund raising and special events;
c. Shall remind each hostess and co-hostess of their responsibilities two weeks prior to each meeting.
10. Landscape Design and Golden Ball Tavern Project
a. Shall coordinate the planning, execution and maintenance of landscape projects such as the Golden Ball Tavern grounds;
b. This committee may be co-chaired;
c. Shall work closely with town authorities on community landscape design projects.
11. Nominating
See bylaws Article VII, Sections 1, 2 and 3.
12. Photography
a. Shall include one or two members who shall work with the publicity chairperson;
b. Shall take pictures on interest to the club at the discretion of the president.
13. Program Planning/Program - Current
See bylaws Article V, Section 2 (c);
a. Shall consist of a chairperson and four other members who shall present a tentative program for the following year to the executive board for approval at its January meeting, such program to include diversified lectures and member participation, to carry out the objectives of the club;
b. Shall submit any plans for a fund raising event, a flower show or other large endeavor to the executive board for approval, and then to the membership for approval at the annual meeting;
Shall have the program with its meeting places approved by the executive board; such program shall be given to the yearbook chairperson as soon as possible after the annual meeting. Meeting places with hostesses for the following year shall be included with the program presented at the annual meeting;
c. Shall become the program - current committee the following year to execute the planned program.
14. Publicity
a. Shall include a chairperson and a member who may send notices of meetings open to the public to local papers at the appropriate time;
b. Shall send notices of open guest meetings to the Federation office for their “Newsletter” at least two months in advance;
c. Shall contact standing committees of the club for current news items for publicity release;
d. Shall be in charge of publicity for fund raising and special events;
e. Shall send publicity release of new officers immediately after the annual meeting;
f. Shall keep a scrapbook if the club’s activities warrant it and pass it on to the Historian - Custodian when completed.
Ways and Means
a. Shall include a chairperson who may appoint two or more members to the committee;
b. Shall work closely with the treasurer to assess the financial needs of the club;
c. Shall devise various ways of raising monies, including large fund raising events with the approval of the executive board and also approved by a two-thirds vote of the members present and voting at any regular meeting.
d. Shall be a two-year commitment, with the first year spent as an assistant to the senior chair and the second year
consisting of both mentoring her successor as well as directing activities outlined in By-law Article XI, Section 15 (c).
16. Yearbook
a. Shall include a chairperson and one or more members working with the incoming president who shall draft, type, proofread and complete the official yearbook with the aid of a printing firm;
b. Shall give the printed yearbooks to the corresponding secretary for mailing to the members by September first.

- Participate in fund raising projects.
- Associate members shall retain all privileges except the right to vote. If they participate on a committee, they will have the right to vote.
- .Each associate member shall be expected to perform at least one club duty per year in addition to participating in fundraising projects.
- Application for associate membership shall be made in writing to the membership chairperson for approval by the executive board.

- Written notification of the action taken b the executive board shall be sent to the applicant by the membership chairperson.
- Candidates on the waiting list may attend guest meetings without charge and upon invitation may participate in club activities on the same payment basis as the member.

- The president shall preside at all meetings of the club and of the executive board; shall appoint all chairpersons of standing committees who may appoint additional members of their committees; may appoint special committees as needed; in May shall appoint the chairperson of the incoming nominating committee; shall perform such other duties as are usually incident to her office; shall present a brief written report at the annual meeting; shall be a member ex-officio of all committees except the nominating committee; shall attend the annual meeting of the Garden Federation of Massachusetts.
- The first vice president shall perform the duties of the president in her absence; shall render such other assistance as may be required by the president; shall be chairperson of the membership committee; shall advise the executive board of the interest, activity and attendance of the members of the club; shall transmit to the executive board applications for membership and resignations; shall notify in writing all applicants for membership and resignations of the action taken by the executive board; shall submit to the recording secretary, the corresponding secretary and the treasurer information regarding new members, those on the waiting list and resignations, and changes of address and telephone numbers. The first vice president shall assume the duties of the president in the second year of her term and a new first vice president will be nominated. (added 5/09)
- The second vice president shall serve as chairperson of the program-planning committee; shall present a tentative program for the following year to the executive board for approval at the January meeting; shall coordinate any joint meetings with allied clubs; shall become the program-current chairperson the following year in order to present the program she has planned.
- The recording secretary shall keep a correct record of all the meetings of the club and the executive board; shall provide copies thereof to the president not later than two weeks following the meeting; shall keep a corrected list of membership and attendance; shall notify the membership committee and the executive board whenever a member shall have failed to attend for three meetings; shall transmit to the custodian of record, at the end of each year, such records as should be preserved; shall present at the annual meeting a written report which shall be a brief resume of the club activities for the year.
- The corresponding secretary shall assist the president with the general correspondence of the club; shall keep a corrected list of members and those on the waiting list; shall send out notices of executive board and regular meetings; shall write and distribute to the membership the club Bulletin as directed by the president; shall send notices of guest meetings to those on the waiting list.
- The treasurer shall collect all monies belonging to the club; shall deposit said monies in a bank or trust company designated by the executive board which shall authorize the disbursement of these funds by the treasurer; shall send notices of dues to all members by April first; shall advise the executive board when any member is one month in arrears; shall be in charge of tickets for any fund raising project; shall present a monthly statement at each regular meeting of the club and an annual written report at the first fall meeting.
Section 3. All officers, except president and treasurer shall:
- Present an annual written report in duplicate the original to be inserted in the directive and the copy sent to the recording secretary not later than May first.
- Pass on her directive to her successor at the annual meeting.

a. Shall include a chairperson and a member who may send notices of meetings open to the public to local papers at the appropriate time;
b. Shall send notices of open guest meetings to the Federation office for their “Newsletter” at least two months in advance;
c. Shall contact standing committees of the club for current news items for publicity release;
d. Shall be in charge of publicity for fund raising and special events;
e. Shall send publicity release of new officers immediately after the annual meeting;
f. Shall keep a scrapbook if the club’s activities warrant it and pass it on to the Historian - Custodian when completed.
Ways and Means
a. Shall include a chairperson who may appoint two or more members to the committee;
b. Shall work closely with the treasurer to assess the financial needs of the club;
c. Shall devise various ways of raising monies, including large fund raising events with the approval of the executive board and also approved by a two-thirds vote of the members present and voting at any regular meeting.
d. Shall be a two-year commitment, with the first year spent as an assistant to the senior chair and the second year
consisting of both mentoring her successor as well as directing activities outlined in By-law Article XI, Section 15 (c).
16. Yearbook
a. Shall include a chairperson and one or more members working with the incoming president who shall draft, type, proofread and complete the official yearbook with the aid of a printing firm;
b. Shall give the printed yearbooks to the corresponding secretary for mailing to the members by September first.
